Oncarriage, LLC. (a subsidiary of Nuvocargo Inc.) with its principal place of business at 154 Grand Street, New York, NY 10013, for itself and on behalf of its affiliated companies and divisions which are also deemed parties to these Brokerage Terms and Conditions (the “Agreement”), collectively hereinafter referred to as “Broker”, in its capacity as an authorized property broker, provides a service that allows, via the website at nuvocargo.com (the “Site”), or via mobile phone or email, third parties registered as “Customers” (as further defined below) to post or request shipments requiring over-the-road transportation (collectively, with the Site and all services provided therein, the “Service”). As used herein, the term “Customer” means any entity establishing an Account as a customer. In order to use the Service, whether requesting Services via the Site or otherwise, Customers must register for an account on the Site (“Account”) and provide certain information as prompted by the registration form. Customer represents and warrants that all required registration information it submits (whether via the Site or otherwise) is truthful and accurate and that Customer will maintain the accuracy of such information. The Service, and this Agreement, apply only to Broker’s arrangement of for-hire motor carrier transportation regarding shipments moving to, from or within the United States, Mexico and Canada and do not apply to any other services that Broker may provide including, but not limited to, customs brokerage services.
BROKER ENTERS INTO THIS AGREEMENT, AS AMENDED FROM TIME TO TIME BY BROKER AND AS IN EFFECT ON THE DATE A SHIPMENT IS POSTED TO THE SERVICE BY CUSTOMER. BY ACCESSING OR USING THE SERVICE, YOU, “CUSTOMER”, ARE ACCEPTING THIS AGREEMENT, ON BEHALF OF YOURSELF, THE COMPANY, ENTITY OR ORGANIZATION THAT YOU REPRESENT, AND THE OWNER OF THE SHIPMENT BEING IDENTIFIED BY YOU. YOU FURTHER REPRESENT AND WARRANT THAT YOU HAVE THE RIGHT, AUTHORITY, AND CAPACITY TO ENTER INTO THIS AGREEMENT, ON BEHALF OF YOURSELF, ON BEHALF OF THE CUSTOMER THAT YOU IDENTIFY AS WHEN ACCESSING THE SERVICE, AND ON BEHALF OF THE OWNER OF THE SHIPMENT IDENTIFIED BY YOU. ANY TERMS AND CONDITIONS ON ANY TRANSACTIONAL OR SHIPMENT-SPECIFIC DOCUMENT, INCLUDING, BUT NOT LIMITED TO, ANY BILL OF LADING, DOCK RECEIPT OR SIMILAR DOCUMENTATION EXCHANGED BETWEEN THE PARTIES OTHER THAN THIS AGREEMENT SHALL NOT APPLY TO ANY SERVICES PERFORMED UNDER THIS AGREEMENT AND SHALL NOT BE BINDING ON OR APPLICABLE TO BROKER. YOU MAY NOT ACCESS OR USE THE SERVICE OR ACCEPT THIS AGREEMENT IF YOU ARE NOT AT LEAST 18 YEARS OLD, HAVE FULL LEGAL CAPACITY AND IN THE CASE OF A LEGAL REPRESENTATIVE, HAVE FULL AUTHORITY TO REPRESENT THE STATED CUSTOMER. IF YOU DO NOT AGREE WITH ALL OF THE PROVISIONS OF THIS AGREEMENT, DO NOT ACCESS OR USE THE SERVICE. BROKER MAY TERMINATE YOUR ACCESS TO AND ABILITY TO USE THE SERVICE AT ANY TIME, IN ITS SOLE DISCRETION WHETHER WITH OR WITHOUT CAUSE. THIS AGREEMENT APPLIES EXCEPT TO THE EXTENT IT CONFLICTS WITH, OR IS EXPRESSLY WAIVED BY, A WRITTEN CONTRACT SIGNED BY AN OFFICER OF BROKER. UPON THE REASONABLE REQUEST OF BROKER, CUSTOMER SHALL PROVIDE ALL DOCUMENTATION AND OTHER INFORMATION REQUESTED IN CONNECTION WITH APPLICABLE “KNOW YOUR CUSTOMER” AND ANTI-MONEY-LAUNDERING RULES, REGULATIONS AND POLICIES OF BROKER.
The Service includes a platform whereby Customer can request pricing for a specific shipment (each an “Order”). Customer is responsible for providing, and shall provide, all information requested by the Service (“Order Information”), and warrants and represents that all such Order Information is accurate and complete. Broker will provide a price quote (“Quote”) to Customer via the Service based on the Order Information input into the Service. BY PROVIDING A QUOTE, BROKER IS NOT GUARANTEEING THAT IT WILL BE ABLE TO ARRANGE FOR REQUESTED TRANSPORTATION, BUT WILL USE COMMERCIALLY REASONABLE EFFORTS TO DO SO. The Service will give Customer the option of accepting the Quote. BY ACCEPTING THE QUOTE, VIA THE FUNCTIONALITY PROVIDED BY THE SERVICE, CUSTOMER IS AUTHORIZING BROKER TO ARRANGE FOR TRANSPORTATION IN ACCORDANCE WITH THE ORDER INFORMATION, AND AGREES TO PAY THE PRICE STATED IN THE QUOTE.
Customer understands and agrees that Broker functions as an independent entity, and not as a carrier, in selling, negotiating, providing and arranging for transportation for compensation, and that the actual transportation of shipments tendered to Broker shall be performed by third-party motor carriers (“Servicing Motor Carriers”). Broker and Customer represent and warrant that their relationship is that of independent contractors and that the respective employees are under their respective exclusive management and control. Nothing in this Agreement shall be deemed to require Broker to provide Services upon request of Customer and Broker reserves the right to accept or decline, in its sole discretion, any particular request for Services. Customer fully understands, acknowledges and agrees that Broker does not render Services related with multimodal transportation for the Mexican market.
Broker will charge and Customer will pay the rates and charges set forth in the Quote without offset. Customer agrees to pay Broker without offset or withholding of any type and within fifteen (15) days of receiving the invoice, with interest accruing monthly at a rate of one percent (1%) per month on any unpaid balance. Customer shall also be liable for any expenses, taxes, import and export duties and fees and other governmental charges incurred in the rendering of the Services, including attorney fees, Broker incurs in collecting its rates and charges. CUSTOMER SHALL ALSO BE RESPONSIBLE FOR ANY ADDITIONAL ACCESSORIAL CHARGES IMPOSED BY THE SERVICING MOTOR CARRIER WHICH WERE NOT ANTICIPATED BY BROKER AT THE TIME BROKER ARRANGED FOR SERVICES WITH SERVICING MOTOR CARRIER OR WHICH WERE NOT OTHERWISE INCLUDED IN THE RATE QUOTED BY BROKER. IF ANY INFORMATION PROVIDED BY CUSTOMER IS INACCURATE OR INCOMPLETE, CUSTOMER ACKNOWLEDGES AND AGREES THAT AGREED UPON RATES MAY, IN BROKER’S SOLE DISCRETION, BE REVISED TO REFLECT THE GOODS ACTUALLY TENDERED OR SERVICES RENDERED.
CUSTOMER SHALL DEFEND, INDEMNIFY AND HOLD HARMLESS BROKER, ITS AFFILIATED ENTITIES, AND EACH OF THEIR OFFICERS, MEMBERS, AND DIRECTORS FROM AND AGAINST, AND SHALL PAY AND REIMBURSE EACH OF THEM FOR, ANY AND ALL CLAIMS, DAMAGES, LIABILITIES, FINES, JUDGMENTS, PENALTIES AND AMOUNTS (INCLUDING REASONABLE ATTORNEY FEES) ARISING FROM OR RELATED TO: (i) BREACH BY CUSTOMER OF THIS AGREEMENT; (ii) THE NEGLIGENCE OR OTHER WRONGFUL CONDUCT OF CUSTOMER, ITS AGENTS, CONTRACTORS OR EMPLOYEES; (iii) VIOLATION BY CUSTOMER, ITS AGENTS, CONTRACTORS OR EMPLOYEES OF ANY APPLICABLE LAWS, RULE OR REGULATION; OR (iv) CUSTOMER’S FAILURE TO PROVIDE, OR BROKER’S COMPLIANCE WITH OR RELIANCE ON, INSTRUCTIONS, DIRECTIONS, OR REQUEST OF CUSTOMER. THE FOREGOING NOTWITHSTANDING, CUSTOMER’S OBLIGATION TO HOLD HARMLESS, DEFEND, INDEMNIFY, PAY AND REIMBURSE SHALL NOT APPLY TO THE EXTENT ANY CLAIM IS CAUSED BY THE NEGLIGENCE OR INTENTIONAL MISCONDUCT OF THE PARTY OTHERWISE SEEKING THE PROTECTIONS OF THIS PARAGRAPH (EACH OF WHICH, WITH THE EXCEPTION OF BROKER, IS AN INTENDED THIRD PARTY BENEFICIARY OF THIS AGREEMENT).
Broker’s sole responsibility with respect to selection and retention of Servicing Motor Carriers is to make reasonable efforts to place Customer’s loads with responsible Servicing Motor Carriers, and that solely in the case of United States Servicing Motor Carriers are: (i) authorized to perform the services required by Customer; (ii) which such carriers do not hold an “unsatisfactory” or unfit safety rating from the U.S. Department of Transportation; and (iii) that possess all insurance coverages required by Applicable Law. Broker makes no express or implied warranties or guarantees concerning delivery time or the locating of a Servicing Motor Carrier to provide the transportation services requested by Customer.
Broker shall comply with all insurance and bonding requirements imposed upon it by law, including its obligation to maintain a surety bond or trust fund agreement, provided however, that such bonding and/or insurance requirements shall not be interpreted to supersede and/or substitute any insurance and/or bonding requirements that the Customer and/or Servicing Motor Carries shall maintain as a matter of legal requirements or reasonable commercial caution, for which Broker shall under no circumstance shall be responsible and for which liability Customer hereby explicitly releases Broker.
Customer acknowledges that Servicing Motor Carriers may limit their liability for cargo loss, damage or delay. Upon request from Customer, Broker will use reasonable commercial efforts to determine and communicate the Servicing Motor Carrier’s limitation on cargo loss and damage liability to Customer. If Customer wishes for Broker to arrange for the Servicing Motor Carrier to assume liability in excess of the otherwise applicable limitation, Customer must make such request to Broker by contacting your sales representative at the Broker to request an increased limit to liability at least seventy-two (72) hours prior to scheduled pick-up of the shipment. Upon receipt of such request, Broker will use reasonable efforts to source a Servicing Motor Carrier able to perform the services at the requested liability levels and if Broker is able to do so will issue a revised Quote to Customer setting forth additional charges applicable to Customer’s request for additional recovery and Customer agrees to pay such additional amounts. If Broker does not issue a Quote setting forth additional charges related to the request for the Servicing Motor Carrier to assume additional liability, then Customer acknowledges and agrees that the Servicing Motor Carrier’s default limitation of liability will apply.
The foregoing provisions notwithstanding, Customer acknowledges and agrees that Servicing Motor Carriers providing services within Mexico will not agree to assume excess liability above the otherwise applicable limitation, and any loss or damage occurring to cargo moving to, from or within Mexico will be subject to such limitations unless otherwise explicitly agreed to in writing by Broker.
It will be Customer’s responsibility to insure product in-transit. Broker may facilitate claims filing and processing with the Servicing Motor Carrier if Customer submits to Broker, within sixty (60) days of the date of delivery, a written claim, fully supported by all relevant documentation, including but not limited to the signed delivery receipt, listing the nature and cause of the claim for cargo damage. Broker may, in its sole discretion and without liability to Customer, discontinue pursuit of claims with the Servicing Motor Carrier if such claim is not resolved within sixty (60) days of receipt by Broker or if Customer, in Broker’s sole discretion, fails to cooperate with Broker in filing of claims with the Servicing Motor Carrier. Broker in no event shall be responsible for the outcome of a claim with the Servicing Motor Carrier or for the failure of a Servicing Motor Carrier to perform any of its obligations derived from such claim.
Customer acknowledges and agrees that failure or alleged failure by the Servicing Motor Carrier to comply with shipment handling instructions, or a broken trailer seal, shall not, in and of itself, result in any presumption that cargo has been adulterated, contaminated, or otherwise rendered unfit for its intended purpose.
BROKER SHALL HAVE NO LIABILITY FOR CARGO LOSS, DAMAGE, OR SHORTAGE EXCEPT TO THE EXTENT SUCH CLAIMS ARE CAUSED BY BROKER’S DOCUMENTED NEGLIGENT ACTS OR OMISSIONS, IN WHICH CASE, BROKER’S LIABILITY SHALL BE LIMITED TO THE CHARGES ASSESSED BY BROKER AND PAID BY CUSTOMER WITH RESPECT TO THE GOODS AT ISSUE.
Customer is responsible for filing a claim with Broker alleging Broker’s liability for cargo loss and damage within sixty (60) days of the date of delivery of the cargo in question (or, if none, within sixty (60) days of the date cargo should have been delivered). Failure to do so will result in an absolute bar to any such claim and will relieve Broker of any and all liability with respect thereto. In no event will Broker have any liability arising from or related to the Servicing Motor Carrier’s refusal to accept full value liability or the Servicing Motor Carrier otherwise limiting or disclaiming its liability for cargo loss and damage.
Broker shall be under no obligation to arrange, and Servicing Motor Carrier shall be under no obligation to provide, service in accordance with any set pick-up or delivery schedule; Broker’s sole obligation is to ensure Servicing Motor Carriers provide services with reasonable dispatch.
Any lawsuit arising from such claim must be commenced within eighteen (18) months of denial of all or any part of such claim. Customer acknowledges and agrees that the sole liability of Broker with respect to loss, damage or delay to cargo shall be as set forth in this provision and Customer warrants and represents that if it is not the owner of such cargo, Customer holds authority from such owner to bind the owner to the provisions of this Agreement.
Shipments tendered hereunder may be accepted by the Servicing Motor Carrier on a bill of lading or similar transportation document setting forth the respective legal rights and obligations of Customer and the Servicing Motor Carrier. In no event shall the terms or conditions of any such bill of lading or other document used by Customer and the Servicing Motor Carrier apply to Broker’s Services or otherwise be binding on Broker. Upon request of Customer, Broker shall request that Servicing Motor Carriers obtain a delivery receipt from the consignee, showing the products delivered, the condition of the shipment and the date and time of such delivery. Customer waives access to Broker’s records pursuant to 49 C.F.R. Part 371.
Broker agrees to notify Customer of any accident or other event of which Broker is apprised and which prevents the motor carrier from making a timely delivery.
BROKER HAS NO RESPONSIBILITY OR LIABILITY FOR ANY SHIPPING SERVICES PROVIDED TO CUSTOMER BY ANY SERVICING MOTOR CARRIER. BROKER SHALL NOT BE DEEMED TO BE AN AGENT OR A PARTNER OF ANY SERVICING MOTOR CARRIER OR CUSTOMER FOR ANY REASON.
IN NO EVENT SHALL BROKER (OR ITS SUPPLIERS) BE LIABLE TO CUSTOMER OR ANY THIRD PARTY FOR ANY LOST PROFIT OR ANY INDIRECT, CONSEQUENTIAL, EXEMPLARY, INCIDENTAL, SPECIAL OR PUNITIVE DAMAGES ARISING FROM OR RELATING TO THIS AGREEMENT OR CUSTOMER’s USE OF, OR INABILITY TO USE, THE SERVICE, INCLUDING, BUT NOT LIMITED TO, LOSS OF PROFIT OR BUSINESS INTERRUPTION, EVEN IF BROKER HAS BEEN ADVISED OF THE POSSIBILITY OF SUCH DAMAGES. NOTWITHSTANDING ANYTHING TO THE CONTRARY CONTAINED HEREIN, BROKER’S (AND ITS SUPPLIERS’) LIABILITY TO CUSTOMER FOR ANY DAMAGES ARISING FROM OR RELATED TO THIS AGREEMENT OR THE SERVICE (FOR ANY CAUSE WHATSOEVER AND REGARDLESS OF THE FORM OF THE ACTION), WILL AT ALL TIMES BE LIMITED TO THE GREATER OF (A) FIFTY US DOLLARS ($50) OR (B) AMOUNTS CUSTOMER HAS PAID BROKER IN THE PRIOR 12 MONTHS (IF ANY). THE EXISTENCE OF MORE THAN ONE CLAIM WILL NOT ENLARGE THIS LIMIT.
Customer consents to receive communications from Broker in an electronic form and agree that all terms and conditions, agreements, notices, disclosures, and other communications that Broker provides to Customer electronically satisfy any legal requirement that such communications would satisfy if it were be in a hardcopy writing and expressly agrees to be bound by all transactions with Broker conducted through electronic means without the need of physical signatures. The foregoing does not affect Customer’s non-waivable rights.
Neither party shall assign this Agreement or any rights hereunder without the prior written consent of the other party, except that (i) Broker may assign this Agreement to any of its parent, subsidiary, or related companies, (including, but not limited to, Nuvocargo Inc), or to any surviving company in a merger or acquisition; and (ii) Broker may assign or otherwise encumber any and all collection rights hereunder in favor of any third party, including financial institutions. Any assignment made pursuant to this paragraph shall be binding upon all assigns, heirs, and successors of the assigning party. Customer acknowledges and agrees that Broker is authorized to subcontract provision of the Services to third parties on any terms acceptable to Broker in Broker’s sole discretion.
Except for regular business communications, which may be transmitted through procedures established by agreement or acquiescence, all notices made hereunder shall be provided in writing and delivered by certified mail, or overnight courier with tracking capabilities. Notices transmitted by certified mail or overnight courier shall be deemed received as of the date and time signed for by recipient. If to Customer, notices shall be addressed to the address provided by Customer when registering for the Service, as updated by Customer from time to time. If to Broker, notice shall be addressed as set forth below:

Neither party, nor any Servicing Motor Carrier, shall be liable for any delay in the performance of their respective obligations under this Agreement resulting from any force majeure, including, but not limited to, acts of God, acts of government or other civil or military authorities, acts of terror, war, riots, or any other event of like kind beyond the reasonable control of the party. In the event of a force majeure, the affected party shall promptly notify the other party in writing, stating the reasons for the inability to comply with the provisions of this Agreement, and the expected duration of the force majeure.
This Agreement and the Website Terms and Conditions separately executed by the parties constitute the entire agreement and understanding between the parties with respect to the Services and supersede any and all prior agreements and understanding, either oral or written. In the event of a conflict between this Agreement and the Website Terms and Conditions, this Agreement shall govern. This Agreement may not be amended, changed, altered, or otherwise modified except in writing signed by both parties.
In the event either party incurs reasonable attorney fees, costs, or expenses in enforcing any of the provisions of this Agreement, or in exercising any right or remedy arising out of any breach of this Agreement by the other party, the prevailing party shall be entitled to receive reasonable attorney fees, costs, and expenses from the other party.
If any provision of this Agreement is held to be invalid under the laws of the Federal government, any State, Province, Territory, Municipality or any other jurisdiction having authority, such provision will be deemed to have no effect in such jurisdiction, but all other provisions of this Agreement shall remain in full force and effect.
The parties have entered into this Agreement pursuant to 49 U.S.C. § 14101(b) for the purpose of providing and receiving transportation services under the rates and conditions set forth in this Agreement. The Parties expressly waive any and all rights and remedies under Part B of Subtitle IV to Title 49 of the U.S. Code, to the extent that such rights or remedies conflict with this Agreement. Customer hereby waives its right to obtain copies of Broker’s records as provided for under 49 C.F.R. Part 371.
Customer and Broker each warrants to the other and agrees that neither it nor any of its officers, directors, employees or agents nor any other person or entity acting on its behalf shall take any action in connection with the transportation activities described herein which would constitute a violation of the U.S. Foreign Corrupt Practices Act or the corresponding Mexican anti-corruption laws (Ley General del Sistema Nacional Anticorrupción y sus disposiciones complementarias). In particular, neither Customer nor Broker, nor any of their respective officers, directors, employees or agents nor any other person or entity acting on their behalf shall request, induce, make, offer, authorize or promise to make any payment or transfer of anything of value, directly or indirectly, (i) to any governmental official or employee (including employees of government-owned or government-controlled corporations, agencies or bodies), (ii) any official or employee of a public international organization, (iii) to any political party, official of a political party or candidate, or (iv) to any third party knowing, believing, or suspecting that such third party will give or transfer the payment or thing of value, or any portion thereof, to any of the foregoing persons in order to obtain or retain business or for any other improper purpose.
Governing Law and Jurisdiction for Clients Incorporated in the United States of America. This Agreement, for Customers incorporated in a State of the United States of America, shall be deemed to have been drawn in accordance with the statutes and laws of the state of New York. In the event of any disagreement or dispute regarding services subject to this Agreement, to the extent not otherwise governed by U.S. federal law, the laws of the state of New York shall apply. Any legal suit, action, or proceeding arising out of, or related to, this Agreement or the services rendered (or not received) pursuant to this Agreement shall be instituted exclusively in the courts serving New York County, New York. Each party specifically submits to the exclusive personal jurisdiction and venue of such courts for disputes involving or arising from this Agreement.
Governing Law and Jurisdiction for Clientes Incorporated in Mexico. This Agreement, for Customers incorporated in Mexico, shall be governed by and construed in accordance with the applicable provisions of Mexican legislation. For everything related to the interpretation, fulfillment, or execution of this Agreement, the Parties submit to the jurisdiction of the competent courts in Mexico City, waiving any jurisdiction that might correspond to them by virtue of their current or future domiciles.
Currency and Language. Unless otherwise specified, the word “dollar” and the “$” sign used herein refer to United States currency, and all amounts to be advanced, paid, or calculated hereunder are to be advanced, paid, or calculated in United States currency. This Agreement is drawn in English. In the event it is interpreted into any other language, such interpretation shall be for the convenience of the parties only. The English language version is the official agreed-upon version and will govern any conflict with any version in any other language.

Based on the model terms and conditions of service promulgated by the NATIONAL CUSTOMS BROKERS AND FORWARDERS ASSOCIATION OF AMERICA, INC.
These terms and conditions of service constitute a legally binding contract between the "Company" and the "Customer". In the event the Company renders services and issues a document containing Terms and Conditions governing such services, the Terms and Conditions set forth in such other document(s) shall govern those services.
"Customer" shall mean the person for which the Company is rendering service, as well as its principals, agents and/or representatives, including, but not limited to, shippers, importers, exporters, carriers, secured parties, warehousemen, buyers and/or sellers, shipper's agents, insurers and underwriters, break-bulk agents, consignees, etc. It is the responsibility of the Customer to provide notice and copy(s) of these terms and conditions of service to all such agents or representatives;
"Documentation" shall mean all information received directly or indirectly from Customer, whether in paper or electronic form;
"Ocean Transportation Intermediaries" ("OTI") shall include an "ocean freight forwarder" and a "non-vessel operating carrier";
"Third parties" shall include, but not be limited to, the following: "carriers, truckmen, cartmen, lightermen, forwarders, OTIs, customs brokers, agents, warehousemen and others to which the goods are entrusted for transportation, cartage, handling and/or delivery and/or storage or otherwise".
Unless subject to a specific statute or international convention, all claims against the Company for a potential or actual loss, must be made in writing and received by the Company, within ninety (90) days of the event giving rise to claim; the failure to give the Company timely notice shall be a complete defense to any suit or action commenced by Customer.
All suits against Company must be filed and properly served on Company as follows:
For claims arising out of brokering domestic motor carrier transportation, within eighteen (18) months from the date of loss;
For claims arising out of the preparation and/or submission of an import entry(s), within seventy-five (75) days from the date of liquidation of the entry(s);
For claims arising out of the preparation and/or submission of an importer security filing, within one (1) year from the date of loss;
For any and all other claims of any other type, within two (2) years from the date of the loss or damage.
Customer acknowledges that it is required to review all documents and declarations prepared and/or filed with U.S. Customs & Border Protection, other Government Agency and/or third parties, and will immediately advise the Company of any errors, discrepancies, incorrect statements, or omissions on any declaration or other submission filed on Customers behalf;
In preparing and submitting customs entries, export declarations, applications, security filings, documentation, delivery orders and/or other required data, the Company relies on the correctness of all documentation, whether in written or electronic format, and all information furnished by Customer; Customer shall use reasonable care to ensure the correctness of all such information and shall indemnify and hold the Company harmless from any and all claims asserted and/or liability or losses suffered by reason of the Customer's failure to disclose information or any incorrect, incomplete or false statement by the Customer or its agent, representative or contractor upon which the Company reasonably relied. The Customer agrees that the Customer has an affirmative non-delegable duty to disclose any and all information required to import, export or enter the goods.
Customer acknowledges that it is required to provide verified weights obtained on calibrated, certified equipment of all cargo that is to be tendered to steamship lines and represents that Company is entitled to rely on the accuracy of such weights and to counter -sign or endorse it as agent of Customer in order to provide the certified weight to the steamship lines. The Customer agrees that it shall indemnify and hold the Company harmless from any and all claims, losses, penalties or other costs resulting from any incorrect or questionable statements of the weight provided by the Customer or its agent or contractor on which the Company relies.
Customer acknowledges that it is required to advise Company in advance of its intention to tender hazardous material goods and that it will otherwise comply with all federal and international hazardous material regulations.
Except as specifically set forth in these terms and conditions, Company makes no express or implied warranties in connection with its services;
Customer may obtain insurance coverage for cargo loss or damage, up to the actual or declared value of the shipment or transaction, by requesting such coverage and agreeing to make payment therefor, which request must be confirmed in writing by the Company prior to rendering services for the covered transaction(s).
In all events, the Company's liability shall be limited to the following:
where the claim arises from importer security filing services or other activities that do not relate to the customs business, $50.00 per importer security filing, shipment, or transaction, or the amount of fees paid to the Company for the importer security filing, shipment, or transaction, whichever is less;
where the claim arises from activities relating to the customs business, $50.00 per entry or the amount of brokerage fees paid to Company for the entry, whichever is less;
In no event shall Company be liable or responsible for consequential, indirect, incidental, statutory or punitive damages, even if it has been put on notice of the possibility of such damages, or for the acts of third parties.
With respect to domestic transportation, Company shall not be liable for a motor carrier’s failure to maintain insurance or for the accuracy of any documentation furnished by a motor carrier to Company or Customer evidencing said coverage.
Company shall have a continuing lien on any and all property and documents relating thereto of Customer coming into Company's actual or constructive possession, custody or control or enroute, which lien shall survive delivery, for all charges, expenses or advances owed to Company with regard to the shipment on which the lien is claimed, a prior shipment(s) and/or both. Customs duties, transportation charges, and related payments advanced by the Company shall be deemed paid in trust on behalf of the Customer and treated as pass through payments made on behalf of the Customer for which the Company is acting as a mere conduit.
Company shall provide written notice to Customer of its intent to exercise such lien, the exact amount of monies due and owing, as well as any on -going storage or other charges; Customer shall notify all parties having an interest in its shipment(s) of Company's rights and/or the exercise of such lien.
Unless, within thirty days of receiving notice of lien, Customer posts cash or letter of credit at sight, or, if the amount due is in dispute, an acceptable bond equal to 110% of the value of the total amount due, in favor of Company, guaranteeing payment of the monies owed, plus all storage charges accrued or to be accrued, Company shall have the right to sell such shipment(s) at public or private sale or auction and any net proceeds remaining thereafter shall be refunded to Customer.
irrevocably consent to the jurisdiction of the United States District Court and the State courts of the State of New York;
agree that any action relating to the services performed by Company, shall only be brought in said courts;
consent to the exercise of in personam jurisdiction by said courts over it, and
further agree that any action to enforce a judgment may be instituted in any jurisdiction.
Al solicitar o aceptar los servicios de intermediación para servicios aduanales de Oncarriage LLC (conjuntamente con cualquiera de sus afiliadas o subsidiarias “Nuvocargo”), usted, actuando en representación de la persona moral que solicite o acepte dichos servicios (en adelante, “el Cliente”) acepta los siguientes términos y condiciones (los “Términos y Condiciones” o el “Contrato”, indistintamente).
Nuvocargo podrá, de tiempo en tiempo, modificar los Términos y Condiciones. Cualquier cambio será aplicable mediante la publicación del mismo en la página www.nuvocargo.com.
Al utilizar los servicios de intermediación para servicios aduanales objeto del presente documento, usted acepta los presentes Términos y Condiciones en nombre y representación del Cliente garantizando que cuenta con todo derecho, autoridad y capacidad para asumir la obligaciones aquí contenidas.
La tramitación del despacho aduanero de mercancías de comercio exterior para destinarlas a los diversos regímenes aduaneros conforme a la legislación mexicana.
La representación del Cliente ante las autoridades aduaneras mexicanas durante el despacho aduanero de mercancías, la clasificación arancelaria y de la exacta determinación del número de identificación comercial (NICO) de mercancías conforme a la legislación mexicana.
La determinación de los impuestos de comercio exterior y demás relativos a pagar por el despacho aduanero de mercancías.
La verificación del cumplimiento de las demás obligaciones que en materia de regulaciones y restricciones no arancelarias rijan para mercancías de comercio exterior.
Nuvocargo acepta, manifiesta y acuerda en llevar a cabo la Comisión Mercantil diligentemente, con probidad, profesionalismo y buena fe, a fin de que los derechos del Cliente no se vean afectados en forma alguna. Las Partes reconocen y acuerdan que el Cliente autoriza expresamente a Nuvocargo para que éste desempeñe la Comisión Mercantil actuando en nombre propio y por cuenta del Cliente.
Nuvocargo se reserva el derecho de aceptar o rechazar, a su entera discreción, una Orden de Servicio específica. En caso de que Nuvocargo rechace alguna Orden de Servicio, deberá notificar al Cliente dicho rechazo dentro de los 3 (tres) días hábiles siguientes contados a partir de que reciba la Orden de Servicio de que se trate.
La Orden de Servicio estará sujeta a las mismas condiciones legales que contienen los presentes Términos y Condiciones y estará supeditada a las mismas obligaciones y derechos contenidos en este instrumento. La Orden de Servicio formará parte integrante de los Términos y Condiciones y en caso de que la misma tenga una vigencia superior a la señalada en la cláusula Octava de los presentes Términos y Condiciones, los mismos permanecerán vigentes hasta la conclusión de los servicios a ser contratados con motivo de una Orden de Servicio.
Una vez recibida la propuesta de servicios, el Cliente deberá notificar por escrito a Nuvocargo su aceptación o rechazo. Dicha notificación deberá ser realizada dentro de los 3 (tres) días hábiles siguientes contados a partir de que reciba la propuesta de servicios respectiva.
Las Partes acuerdan que el pago de la Comisión a la que se refiere el párrafo anterior será pagadera por el Cliente a Nuvocargo dentro de los 15 días naturales siguientes a la fecha en que la factura correspondiente sea recibida por el Cliente, mismo pago que deberá ser realizado mediante transferencia electrónica de fondos a la cuenta bancaria que Nuvocargo le indique.
Al respecto, Nuvocargo se obliga a enviar con debida anticipación las facturas correspondientes al Cliente para efectos de que este último realice el pago de los Gastos. Nuvocargo no será responsable por, ni asumirá el pago de cualesquiera Gastos derivados de o relacionados con los servicios prestados por los Agentes al Cliente.
En caso de que el Cliente no pague a tiempo cualquier Gasto necesario para la prestación de los servicios por los Agentes, el Cliente asumirá el retardo en la ejecución de la Orden de Servicio correspondiente.
Asimismo, en caso de que con posterioridad a que el Cliente realice el pago de una determinada Orden de Servicio exista un saldo a favor derivado de un anticipo realizado, Nuvocargo deberá restituir al Cliente cualquier saldo a favor sin demora. En caso de que existan facturas vencidas que se encuentren pendientes de pago por parte del Cliente, Nuvocargo tendrá derecho a disponer de dicho saldo para compensar cualquier factura vencida.
Pagar las cantidades que se deriven de cada Orden de Servicio de conformidad con lo establecido en la cláusula Cuarta.
Pagar puntualmente los Gastos relacionados con o derivados de cada Orden de Servicio.
Proporcionar a Nuvocargo los anticipos solicitados para la ejecución de la Comisión Mercantil y el debido cumplimiento de una Orden de Servicio.
Proporcionar la información y documentación que sea requerida por Nuvocargo o cualquier Agente, para efectos de cumplir con lo establecido en una Orden de Servicio, incluyendo aquella información que sea necesaria para llevar a cabo el despacho aduanero de mercancías de comercio exterior. Dicha información y documentación deberá ser proporcionada por el Cliente a Nuvocargo dentro de los 2 días siguientes a la recepción de la solicitud de información correspondiente. Nuvocargo no incurrirá en responsabilidad en caso de incumplimiento de la Comisión Mercantil si dicho incumplimiento deriva de la falta de entrega, por parte del Cliente, de la información y documentación necesaria y requerida oportunamente.
También podrá optar por la rescisión aun después de haber optado por el cumplimiento, cuando éste resultare imposible, o si dentro de los 5 (cinco) días hábiles acordados en el párrafo anterior no se subsana el incumplimiento, en cualquier caso la Parte afectada podrá exigir los daños y perjuicios que le hayan sido causados por el incumplimiento de la contraparte.
Durante la vigencia del presente Contrato y en cualquier momento, las Partes acuerdan que Nuvocargo podrá dar por terminado anticipadamente el presente Contrato, siendo su única obligación el notificarle por escrito a el Cliente con, cuando menos, 30 (treinta) días naturales de anticipación a la fecha en que dicha terminación deba surtir sus efectos, sin responsabilidad alguna para Nuvocargo, de pleno derecho y sin necesidad de resolución judicial. El Cliente quedará obligado a liquidar aquellas cantidades que al momento de solicitar la terminación anticipada se encuentren pendientes de pago.
El hecho de que cualquiera de las Partes renuncie a exigir el cumplimiento de cualquier obligación establecida en el presente Contrato ante cualquier incumplimiento de la otra Parte, no constituirá una renuncia a hacer valer sus derechos ante cualquier incumplimiento posterior o de otra obligación de dicha otra Parte. Cualquier demora u omisión en el ejercicio de algún derecho, facultad o recurso en caso de incumplimiento por cualquiera de las Partes, no impedirá que la Parte perjudicada ejercite dicho derecho, facultad o recurso con posterioridad.
Salvo que la ley disponga otra cosa o este Contrato lo permita, toda la información confidencial proporcionada bajo el presente Contrato se mantendrá como confidencial por parte del Cliente, Nuvocargo, sus representantes y sus agentes, sin embargo: (a) cualquier información confidencial podrá ser revelada a los funcionarios, directores, gerentes, empleados, representantes, asesores y agentes de la Parte receptora que requiera conocer tal información para cumplir con lo establecido en el presente Contrato o en una Orden de Servicio, en el entendido de que dichos funcionarios, directores, gerentes, empleados, representantes, consejeros y agentes deberán ser informados por la Parte receptora de la naturaleza confidencial de tal información confidencial y serán instruidos por la Parte receptora para tratar tal información confidencialmente; (b) la información confidencial puede ser revelada a cualquier persona mediante consentimiento por escrito previo de la Parte que proporciona tal información confidencial; y (c) la información confidencial se puede revelar si tal revelación es necesaria para cumplir un requisito legal, orden judicial o dentro de un procedimiento arbitral.
Para fines de cumplir con las obligaciones de no divulgación que establece el presente Contrato, la Parte que reciba información confidencial empleará todos los esfuerzos que comúnmente utiliza para proteger su propia información confidencial.
Cualquier información confidencial suministrada a la Parte receptora seguirá siendo propiedad de la Parte que la provee, y la Parte receptora no recibirá ningún beneficio de la propiedad de dicha información.
Las Partes serán exclusivamente responsables respecto de cualquier obligación de tipo laboral de conformidad con lo dispuesto por las leyes laborales mexicanas aplicables en relación con cualquier empleado o trabajador que emplee o contrate para cumplir sus obligaciones bajo el presente Contrato y asumen plena responsabilidad por el cumplimiento de sus obligaciones laborales con respecto al mismo. Asimismo, las Partes reconocen que los Agentes contratados por Nuvocargo para cumplir con lo establecido en el presente Contrato o cualquier Orden de Servicio no serán, ni deberán ser considerados como empleados o trabajadores de Nuvocargo.
Nuvocargo declara y garantiza que es un comisionista independiente y no un empleado del Cliente. Las Partes serán responsables de todo tipo de impuestos y otros gastos surgidos de las relaciones laborales con su respectivo personal y de la ejecución del objeto del presente Contrato por dicho personal, así como de todas las obligaciones y responsabilidades patronales en materia fiscal, laboral y de seguridad social incluyendo, sin limitar, las afiliaciones, bajas y aportaciones al Instituto Mexicano del Seguro Social (“I.M.S.S.”) y el Instituto del Fondo Nacional de la Vivienda para los Trabajadores y las de Ahorro para el Retiro, manifestando que cuentan con recursos suficientes y propios para cumplir con dichas obligaciones y responsabilidades, motivo por el cual, las Partes se obligan a sacar en paz y a salvo a la otra Parte de cualquier conflicto individual o colectivo de trabajo o de seguridad social iniciado en contra de dicha Parte.
Finalmente, Nuvocargo asumirá plena responsabilidad laboral por todo su personal asignado para llevar a cabo la Comisión Mercantil y conviene en cumplir estrictamente con todas sus obligaciones como patrón respecto a dicho personal conforme a la Ley Federal del Trabajo, la Ley del Seguro Social, la Ley del Instituto del Fondo Nacional de la Vivienda para los Trabajadores y todos los reglamentos y disposiciones expedidas de conformidad con cualquier ley aplicable.
El Cliente renuncia expresamente a cualquier acción, reclamación o demanda que pudiera tener o iniciar en contra de Nuvocargo derivado de cualesquiera Reclamaciones que surjan de o se relacionen con, directa o indirectamente, el objeto de este Contrato, una Orden de Servicio, las mercancías de comercio exterior relacionadas y/o los actos u omisiones de cualquier Agente contratado en favor y por cuenta del Cliente, incluyendo cualquier agente aduanal.
Asimismo, el Cliente se obliga a indemnizar y sacar en paz y a salvo a Nuvocargo y a sus respectivos causahabientes, cesionarios, accionistas, consejeros, directores y empleados de cualquier responsabilidad, obligación, pérdida, daño, pena, reclamación, demanda, acción, juicio, sentencia, y de cualquier costo y gasto razonables (incluyendo honorarios razonables de abogados) como resultado de, o en relación con cualesquiera Reclamaciones que surjan de o se relacionen con, directa o indirectamente, el objeto de este Contrato, una Orden de Servicio, las mercancías de comercio exterior relacionadas y/o los actos u omisiones de cualquier Agente contratado en favor y por cuenta del Cliente, incluyendo cualquier agente aduanal.
En caso de que el impedimento permanezca durante un período de más de 30 (treinta) días naturales, el Contrato podrá darse por terminado por cualquiera de las Partes, sin responsabilidad alguna, bastando para ello que la Parte de que se trate envíe a la otra Parte un aviso por escrito, dentro de los 3 (tres) días naturales siguientes al vencimiento de dicho período, obligándose las Partes a realizar las acciones a que en su caso hubiere lugar.
Para los efectos de la presente cláusula se entiende por caso fortuito o fuerza mayor un acontecimiento originado por cualquier causa ajena al control de las Partes que sea imprevisible o que aun siendo previsible fuera inevitable o insuperable, y en la que no haya mediado negligencia, impericia o culpa de la Parte que invoque caso fortuito o fuerza mayor.
Para que la Parte que invoque caso fortuito o fuerza mayor sea liberada de responsabilidad conforme a la presente cláusula, será necesario que tanto dicho acontecimiento, como la imposibilidad de cumplimiento de sus obligaciones sean debidamente probados o, en su defecto, que la existencia de ambos sean del dominio público. Lo anterior incluye de manera enunciativa más no limitativa, actos definitivos de autoridad, bloqueos, invasiones, rebeliones, conflictos armados, actos terroristas, explosiones, epidemias, pandemias, contingencias o emergencias sanitarias, guerras, incendios, huracanes, ciclón, tornado, inundaciones graves o terremotos. Asimismo, las Partes acuerdan que cualquier acto por parte de cualquier autoridad o dependencia, ya sea municipal, local o federal que no permita continuar con la ejecución del presente Contrato se entenderá como caso fortuito o fuerza mayor.
Las Partes reconocen que en los últimos cinco (5) años no han sido objeto de alguna investigación relacionada con el incumplimiento de las Leyes Anticorrupción y que no es razonablemente probable que próximamente se lleve a cabo una investigación de tal naturaleza en su contra.
Cada una de las Partes se compromete a indemnizar a la otra Parte en contra de cualquier responsabilidad que resulte de cualquier demanda, causa, investigación o proceso judicial o administrativo en relación con el incumplimiento por parte de cualquiera de las Partes a las Leyes Anticorrupción.

(a subsidiary of Nuvocargo Inc.) with its principal place of business at 154 Grand Street, New York, NY 10013, for itself and on behalf of its affiliated companies and divisions which are also deemed parties to these Website Terms and Conditions (the “Website T&Cs”), collectively hereinafter referred to as “Broker”, in its capacity as an authorized property broker, provides a service that allows, via the website at nuvocargo.com (the “Site”), third parties registered as customers to post or request shipments requiring over-the-road transportation, and third parties registered as motor carriers to view such shipments (collectively, with the Site and all services provided therein, the “Service”).
BY ACCESSING OR USING THE SERVICE, INCLUDING THE SITE , YOU, “USER”, ARE ACCEPTING THESE WEBSITE T&Cs, AS AMENDED FROM TIME TO TIME BY BROKER, ON BEHALF OF YOURSELF AND THE COMPANY, ENTITY OR ORGANIZATION THAT YOU REPRESENT, AND YOU REPRESENT AND WARRANT THAT YOU HAVE THE RIGHT, AUTHORITY, AND CAPACITY TO ENTER INTO THESE WEBSITE T&Cs ON BEHALF OF YOURSELF AND THE COMPANY, ENTITY OR ORGANIZATION THAT YOU REPRESENT. In order to use the Service, User may have to register for an account on the Site (“Account”) and provide certain information as prompted by the registration form. User represents and warrants that all required registration information it submits (whether via the Site or otherwise) is truthful and accurate and that User will maintain the accuracy of such information.
User may delete its Account at any time, for any reason, by following the instructions on the Site. User is responsible for maintaining the confidentiality of its Account login credentials and is fully responsible for all activities that occur under its Account. User agrees to immediately notify Broker of any unauthorized use, or suspected unauthorized use of User’s Account or any other breach of security. Broker cannot and will not be liable for any loss or damage arising from User’s failure to comply with the above requirements.
“User”, as used herein, includes anyone accessing the Service via any log-in credentials provided to User by Broker.
Subject to the terms of these Website T&Cs, Broker grants User a non-transferable, non- exclusive license to use the Site for User’s internal business use.

User is responsible for obtaining the data network access necessary to use the Services. User’s mobile network’s data and messaging rates and fees may apply if User accesses or uses the Service from a wireless-enabled device. User is responsible for acquiring and updating compatible hardware or devices necessary to access and use the Service and any updates thereto. Broker does not guarantee that the Service, or any portion thereof, will function on any particular hardware or devices. In addition, the Service may be subject to malfunctions and delays inherent in the use of the Internet and electronic communications.
Excluding User’s own User Content (defined below), User acknowledges that all the intellectual property rights, including copyrights, patents, trademarks, and trade secrets, in the Service are owned by Broker or Broker’s licensors. Broker’s provision of the Service does not transfer to User or any third party any rights, title or interest in or to such intellectual property rights. Broker and its suppliers reserve all rights not granted in these Website T&Cs.
Broker reserves the right, at any time, to modify, suspend, or discontinue the Service or any part thereof with or without notice. User agrees that Broker will not be liable to User or to any third party for any modification, suspension, or discontinuance of the Service or any part thereof.
If User provides Broker any feedback, suggestions, bug reports, system errors, and other information or ideas regarding the Service (“Feedback”), User hereby assigns to Broker all rights in the Feedback and agree that Broker shall have the right to use such Feedback and related information in any manner it deems appropriate. Unless otherwise required under these Website T&Cs, Broker has no obligation to review, respond to, resolve complaints or issues identified in, or otherwise address any Feedback User provides. Broker will treat any Feedback User provides to Broker as non-confidential and non-proprietary. User agrees that User will not submit to Broker any information or ideas that User considers to be confidential or proprietary. If User agrees to participate in any case studies, User agrees that information User provides in connection with the case study is deemed Feedback and that Broker may use User’s name in connection with such Feedback.
“Content” means any and all information, data, and other content that a user submits to, or uses with, the Service, including but not limited to any information requested by the Service and any other information provided or received by a user related to any order. User is solely responsible for its own User Content. User assumes all risks associated with use of User’s Content, including any reliance on its accuracy, completeness or usefulness by others, or any disclosure of User’s Content that makes User or any third party personally identifiable. User hereby represents and warrants that User’s Content does not violate the Acceptable Use Policy (set forth below). For the avoidance of doubt, User’s Content may include third-party content that User submits. User agrees not to submit third-party content unless User has the consent of the applicable third-party owner of such content. User may not state or imply that User’s Content is in any way provided, sponsored or endorsed by Broker. User alone is responsible for any liability resulting from User’s Content, including, but not limited to, liability resulting from any of User’s Content that violates the Acceptable Use Policy. Broker does not control Content, and User acknowledges and agrees that Broker assumes no responsibility for any Content and makes no guarantees regarding the accuracy, currency, suitability, or quality of any Content.
User hereby grants, and User represents and warrants that User has the right to grant, to Broker an irrevocable, nonexclusive, royalty-free and fully paid, sublicenseable, worldwide license to use User’s Content, solely for the purposes of including User’s Content in the Service and to create Anonymous Data. All rights in and to User’s Content not expressly granted to Broker in these Website T&Cs are reserved by User.
Broker may create anonymous data records (“Anonymous Data”) from User’s Content by using commercially reasonable efforts to exclude any and all information (such as company name) that would identify User. Broker may use and disclose Anonymous Data for any purpose, including to improve the Service.
Broker may share User’s Content (i) with other users of the Service or Broker’s parent, subsidiary, or affiliated entities; (ii) if another company acquires Broker’s company, business, or Broker’s assets, including through bankruptcy or merger with such other company; and (iii) to comply with relevant laws, to respond to subpoenas or warrants served on Broker, to protect or defend Broker’s or any Service users’, including User’s, rights or property, and/or to investigate or assist in preventing any violation or potential violation of the law or these Website T&Cs.
User agrees not to use the Service to collect, upload, transmit, display, or distribute any Content (i) that violates any third-party right, including any copyright, trademark, patent, trade secret, moral right, privacy right, right of publicity, or any other intellectual property or proprietary right; (ii) that is unlawful, harassing, abusive, tortious, threatening, harmful, invasive of another’s privacy, vulgar, defamatory, false, intentionally misleading, trade libelous, pornographic, obscene, patently offensive (e.g., material that promotes racism, bigotry, hatred, or physical harm of any kind against any group or individual) or otherwise objectionable material of any kind or nature or which is harmful to minors in any way; or (iii) in violation of any law, regulation, or obligations or restrictions imposed by any third party.
In addition, User agrees not to use the Service to: (i) upload, transmit, or distribute any computer viruses, worms, or any software intended to damage or alter a computer system or data; (ii) send unsolicited or unauthorized advertising, promotional materials, junk mail, spam, chain letters, pyramid schemes, or any other form of duplicative or unsolicited messages, whether commercial or otherwise; (iii) harvest, collect, gather or assemble information or data regarding other Service users, including e-mail addresses, without their consent; (iv) interfere with, disrupt, or create an undue burden on servers or networks connected to the Service or violate the regulations, policies or procedures of such networks; (v) attempt to gain unauthorized access to the Service, other computer systems or networks connected to or used together with the Service, through password mining or other means; (vi) harass or interfere with another Service user’s use and enjoyment of the Service; or (vii) introduce software or automated agents or scripts to the Service so as to produce multiple accounts, generate automated searches, requests and queries, or to strip, scrape, or mine data from the Service.
Broker reserves the right (but has no obligation) to review any Content, investigate, and/or take appropriate action against User in Broker’s sole discretion (including removing or modifying or deleting User’s Content, terminating User’s Account, and/or reporting User to law enforcement authorities) if User violates the Acceptable Use Policy or any other provision of these Website T&Cs or otherwise create liability for Broker or any other person.
THE SERVICE IS PROVIDED “AS-IS” AND “AS AVAILABLE” AND BROKER (AND ITS SUPPLIERS) EXPRESSLY DISCLAIM ANY WARRANTIES AND CONDITIONS OF ANY KIND, WHETHER EXPRESS OR IMPLIED, INCLUDING THE WARRANTIES OR CONDITIONS OF MERCHANTABILITY, FITNESS FOR A PARTICULAR PURPOSE, TITLE, QUIET ENJOYMENT, ACCURACY, OR NON-INFRINGEMENT. BROKER (AND ITS SUPPLIERS) MAKE NO WARRANTY THAT THE SERVICE: (A) WILL MEET USER’S REQUIREMENTS OR EXPECTATIONS; (B) WILL BE AVAILABLE ON AN UNINTERRUPTED, TIMELY, SECURE, OR ERROR-FREE BASIS; (C) WILL BE ACCURATE, RELIABLE, FREE OF VIRUSES OR OTHER HARMFUL CODE, COMPLETE, LEGAL, OR SAFE; OR (D) RESULT IN ANY REVENUE, PROFITS, OR COST REDUCTION. THE SERVICE MAY BE SUBJECT TO LIMITATIONS, DELAYS, AND OTHER PROBLEMS INHERENT IN THE USE OF THE INTERNET AND ELECTRONIC COMMUNICATIONS. BROKER IS NOT RESPONSIBLE FOR ANY DELAYS, DELIVERY FAILURES OR OTHER DAMAGES RESULTING FROM SUCH PROBLEMS.
USER HEREBY WAIVES AND RELEASES BROKER (AND BROKER’S SUPPLIERS, OFFICERS, EMPLOYEES, AGENTS, SUCCESSORS AND ASSIGNS) FROM, AND HEREBY WAIVE AND RELINQUISH, EACH AND EVERY PAST, PRESENT AND FUTURE DISPUTE, CLAIM, CONTROVERSY, DEMAND, RIGHT, OBLIGATION, LIABILITY, ACTION AND CAUSE OF ACTION OF EVERY KIND AND NATURE (INCLUDING PERSONAL INJURIES, DEATH, AND PROPERTY DAMAGE), ARISING FROM OR IN ANY WAY RELATED TO OTHER USERS OR THIRD PARTIES.
The Service might contain links to third party websites, services, and advertisements for third parties (collectively, “Third Party Sites & Ads”). Such Third Party Sites & Ads are not under the control of Broker and Broker is not responsible for any Third Party Sites & Ads. Broker provides these Third Party Sites & Ads only as a convenience and does not review, approve, monitor, endorse, warrant, or make any representations with respect to Third Party Sites & Ads. User uses all Third Party Sites & Ads at User’s own risk. When User links to a Third Party Site & Ad, the applicable third party’s terms and policies apply, including the third party’s privacy and data gathering practices. User should make whatever investigation User feels necessary or appropriate before proceeding with any transaction in connection with such Third Party Sites & Ads.
All trademarks, logos and service marks (“Marks”) displayed on the Service are Broker property or the property of other third parties. User is not permitted to use these Marks without Broker’s prior written consent or the consent of such third party which may own the Marks.
For the use of the Service, User must supply certain personal data. Personal data is processed and stored in servers or magnetic media maintaining a high degree of technological and physical safety. For more information pertaining the protection of personal data, User can visit Broker’s{" "} privacy policy (the “Privacy Policy”). The Privacy Policy is not incorporated into or otherwise part of these Website T&Cs, and the Privacy Policy is not intended to and does not create any contractual or other legal right in or on behalf of any party. User agrees that for purposes of Mexican privacy policy law User shall be deemed a merchant and hereby expressly consents that (i) User’s personal data is subject to the exceptions set out in Article 5, Subsection II of the Federal Law for the Protection of Personal Data (Ley Federal para la Protección de los Datos Personales); and the treatment given to its personal data has the purpose of meeting its obligations derived from its contractual relationship with Broker and other Service users.
USER SHALL DEFEND, INDEMNIFY AND HOLD HARMLESS BROKER, ITS AFFILIATED ENTITIES, AND EACH OF THEIR OFFICERS, MEMBERS, AND DIRECTORS FROM AND AGAINST, AND SHALL PAY AND REIMBURSE EACH OF THEM FOR, ANY AND ALL CLAIMS, DAMAGES, LIABILITIES, FINES, JUDGMENTS, PENALTIES AND AMOUNTS (INCLUDING REASONABLE ATTORNEY FEES) ARISING FROM OR RELATED TO: (i) BREACH BY USER OF THESE WEBSITE T&Cs; (ii) THE NEGLIGENCE OR OTHER WRONGFUL CONDUCT OF USER, ITS AGENTS, CONTRACTORS OR EMPLOYEES; OR (iii) VIOLATION BY USER, ITS AGENTS, CONTRACTORS OR EMPLOYEES OF ANY APPLICABLE LAWS, RULE OR REGULATION. THE FOREGOING NOTWITHSTANDING, CUSTOMER’S OBLIGATION TO HOLD HARMLESS, DEFEND, INDEMNIFY, PAY AND REIMBURSE SHALL NOT APPLY TO THE EXTENT ANY CLAIM IS CAUSED BY THE NEGLIGENCE OR INTENTIONAL MISCONDUCT OF THE PARTY OTHERWISE SEEKING THE PROTECTIONS OF THIS PARAGRAPH (EACH OF WHICH, WITH THE EXCEPTION OF BROKER, IS AN INTENDED THIRD PARTY BENEFICIARY OF THIS AGREEMENT).
These Website T&Cs, and the Brokerage Terms and Conditions (if User is a customer) and the Carrier Terms and Conditions (if User is a motor carrier) (the “Agreement”) constitute the entire agreement and understanding between the parties and supersedes any and all prior agreements and understanding, either oral or written. In the event of a conflict between these Website Terms & Conditions and the Agreement, the Agreement shall govern.
These Website T&Cs shall be deemed to have been drawn in accordance with the statutes and laws of the state of New York and in the event of any disagreement or dispute regarding services subject to these Website T&Cs, to the extent not otherwise governed by U.S. federal law, the laws of the state of New York shall apply and suit must be brought in courts serving New York County, New York as each party specifically submits to the exclusive personal jurisdiction of such courts for disputes involving or arising from these Website T&Cs or the Service. The parties hereby submit to the exclusive jurisdiction of, and venue in, such courts and waive any and all challenges to such venue or jurisdiction. This Agreement is drawn in English. In the event it is interpreted to any other language, any such interpretation shall be for the convenience of the parties only. The English language version is the official agreed upon version and will govern any conflict with any version in any other language.
